SPENCER YEE
partner
Spencer focuses on corporate transactions and securities offerings. He has advised corporate, private equity and other clients in a variety of public and private merger and acquisition transactions, minority and strategic investments and other corporate matters.
Spencer also advises clients on financing transaction under the EB-5 immigrant visa investor program. Recent representative transactions include senior and mezzanine debt financing transactions for hotel construction projects, a private Manhattan social club, a retail fuel center construction, and an early stage premium motorcycle company.
In addition, Spencer works with clients on complex acquisition, joint venture, and investment transactions in China. He has represented a wide range of leading US and European multinational companies and private equity sponsors on some of the most significant and complex inbound acquisition and investment transactions in China. He has also represented large Chinese state-owned and private companies and private equity sponsors on significant outbound cross-border acquisitions and joint ventures with foreign investors.
Spencer received his B.S. from Brigham Young University and his J.D. from New York University School of Law.

TIMOTHY SHIH
partner
Tim focuses on corporate transactional matters, including complex public and private securities offerings, public and private M&A transactions, banking and corporate restructuring. Tim has worked directly with Fortune 500 Companies in the hospitality, media, manufacturing, financial, banking, private equity and real estate industries. Tim also advises clients on securities, structuring and financing matters related to the EB-5 immigrant investor program. Tim is currently a Managing Partner of EB5 Affiliate Network, LLC, a reputable EB-5 advisory and consulting company.
Tim also advises on entertainment law matters related to film financing, licensing, distribution and production. Tim previously served as General Counsel for an entertainment company in the People’s Republic of China. In that capacity, Tim conducted outbound M&A transactions, onshore and offshore fund structuring, securities transactions and complex corporate restructuring. Tim also advised on entertainment law matters related to US-China film financing, licensing, distribution and production including with respect to Looper, Iron Man 3, Transcendence and Point Break.
Tim holds a B.S. in Computer Science from Yale University and a J.D., magna cum laude, from the Duke University School of Law.
Prior to founding the firm, Tim worked at Cravath, Swaine & Moore LLP.
